Agreement to Terms
Welcome to Kitchen Truckin Inc. (“Company,” “we,” “us,” or “our”). These Terms of Service (“Terms”) constitute a legally binding agreement between you, whether personally or on behalf of an entity (“you” or “Customer”), and Kitchen Truckin Inc., governing your access to and use of the www.kitchentruckin.com website, including all content, functionality, services, and products offered on or through the website (collectively, the “Site” or “Services”). Our mission is to help you “Cook Smart, Tidy Fast” by providing innovative, durable, and stylish kitchen tools designed to “chop, slice, store and serve effortlessly.”
By accessing or using the Site, you acknowledge that you have read, understood, and agree to be bound by these Terms, our Privacy Policy, our Refund and Returns Policy, and our Shipping Policy, all of which are incorporated herein by reference. If you do not agree with any part of these Terms, you must not access or use the Site or our Services.

2. User Accounts and Registration
To access certain features of the Site, such as placing an order or viewing order history, you may be required to register for an account. You agree to:

- You are responsible for all activities that occur under your account. The Company is not liable for any loss or damage arising from your failure to comply with these requirements.
3. Products, Pricing, and Purchases
A. Product Information
We strive to display as accurately as possible the colors, features, specifications, and details of the products available on the Site. However, we do not guarantee that your computer monitor’s display of any color will be accurate or that product descriptions are error-free. We reserve the right to correct any errors, inaccuracies, or omissions and to change or update information or cancel orders if any information on the Site is inaccurate at any time without prior notice (including after you have submitted your order). We make every effort to “revolutionize your kitchen with our sleek, durable gadgets,” as part of our offering of over 260+ kinds of products.
B. Pricing
All prices are listed in Canadian Dollars (CAD) unless otherwise stated. Prices are subject to change without notice. We reserve the right to modify or discontinue any product or service without notice at any time. We shall not be liable to you or any third party for any modification, price change, suspension, or discontinuance of the Service.
C. Orders and Acceptance
Your placement of an order constitutes an offer to purchase the product(s) in your cart. All orders are subject to acceptance by us. We may refuse or cancel any order for any reason at our sole discretion, including limitations on quantities available for purchase, inaccuracies in product or pricing information, or suspected fraud. We will notify you if we cancel all or part of your order.
D. Payment
We accept various forms of payment as indicated at checkout. You represent and warrant that you have the legal right to use any payment method you provide. You agree to provide current, complete, and accurate purchase and account information for all purchases made via the Site. Sales tax (HST/GST/PST) and shipping costs will be added to your order total as applicable.
4. Shipping, Returns, and Refunds
All product shipments are governed by our separate Shipping Policy. All returns and refunds are governed by our separate Refund and Returns Policy. Please review these policies carefully before making a purchase. They are integral parts of these Terms. We do not offer refunds without the physical return of the eligible item.
5. Intellectual Property Rights
The Site and its entire contents, features, and functionality (including but not limited to all information, software, text, displays, images, video, audio, and the design, selection, and arrangement thereof, and the Company name “Kitchen Truckin,” the tagline “Cook Smart, Tidy Fast,” and associated logos), are owned by the Company, its licensors, or other providers of such material and are protected by copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws.
These Terms permit you to use the Site for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any of the material on our Site, except as incidental to normal web browsing or as necessary to place an order.
6. Prohibited Uses
In addition to other prohibitions in these Terms, you are prohibited from using the Site or its content:
- For any unlawful purpose.
- To solicit others to perform or participate in any unlawful acts.
- To violate any international, federal, provincial, or state regulations, rules, laws, or local ordinances.
- To infringe upon or violate our intellectual property rights or the intellectual property rights of others.
- To harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate based on gender, sexual orientation, religion, ethnicity, race, age, national origin, or disability.
- To submit false or misleading information.

7. Disclaimer of Warranties; Limitation of Liability

THE SITE AND ALL PRODUCTS AND SERVICES DELIVERED TO YOU THROUGH THE SITE ARE PROVIDED ‘AS IS’ AND ‘AS AVAILABLE’ WITHOUT ANY WARRANTY OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT.
B. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL KITCHEN TRUCKIN INC., ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (I) YOUR ACCESS TO OR USE OF OR INABILITY TO ACCESS OR USE THE SITE; (II) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SITE; (III) ANY CONTENT OBTAINED FROM THE SITE; AND (IV) UNAUTHORIZED ACCESS, USE, OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), OR ANY OTHER LEGAL THEORY, WHETHER OR NOT WE HAVE BEEN INFORMED OF THE POSSIBILITY OF SUCH DAMAGE. OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING FROM OR RELATED TO THESE TERMS OR YOUR USE OF THE SITE SHALL NOT EXCEED THE GREATER OF ONE HUNDRED CANADIAN DOLLARS (CAD $100) OR THE AMOUNT YOU HAVE PAID TO KITCHEN TRUCKIN INC. IN THE LAST SIX (6) MONTHS FOR THE PRODUCTS OR SERVICES GIVING RISE TO THE CLAIM.
8. Indemnification
You agree to defend, indemnify, and hold harmless Kitchen Truckin Inc. and its subsidiaries, agents, licensors, managers, and other affiliated companies, and their employees, contractors, agents, officers, and directors, from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to reasonable attorney’s fees) arising from: (a) your use of and access to the Site; (b) your violation of any term of these Terms; (c) your violation of any third-party right, including any copyright, trademark, trade secret, or privacy right; or (d) any claim that your use of the Site caused damage to a third party.
9. Termination
We may terminate or suspend your account and bar access to the Site immediately, without prior notice or liability, under our sole discretion, for any reason whatsoever, including without limitation if you breach these Terms. Upon termination, your right to use the Site will cease immediately. Provisions of these Terms which by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.
10. Governing Law and Dispute Resolution
These Terms and any separate agreements whereby we provide you Services shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to its conflict of law provisions.
Any dispute, claim, or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation, or validity thereof, including the determination of the scope or applicability of this agreement to arbitrate, shall be resolved through final and binding arbitration in the City of Toronto, Ontario, rather than in court. Judgment on the award rendered by the arbitrator(s) may be entered in any court having competent jurisdiction.
11. Severability
If any provision of these Terms is held to be unlawful, void, or for any reason unenforceable, then that provision shall be deemed severable from these Terms and shall not affect the validity and enforceability of any remaining provisions.
12. Entire Agreement
These Terms, together with our Privacy Policy, Refund and Returns Policy, and Shipping Policy, constitute the sole and entire agreement between you and Kitchen Truckin Inc. regarding the Site and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding the Site.
13. Changes to Terms of Service
We reserve the right, at our sole discretion, to update, change, or replace any part of these Terms by posting updates and changes to our Site. It is your responsibility to check our Site periodically for changes. Your continued use of or access to our Site following the posting of any changes to these Terms constitutes acceptance of those changes.
